1.Applicazione e accettazione dei Termini1.Application and Acceptance of the Terms

1.1 L'utilizzo del Sito e dei servizi, software e prodotti di EXhobby (collettivamente denominati "Servizi" di seguito) è soggetto ai termini e alle condizioni contenuti nel presente documento, nonché all'Informativa sulla privacy e a qualsiasi altra regola e politica del Sito che EXhobby potrebbe pubblicare di volta in volta. This document and such other rules and policies of the Site are collectively referred to below as the “Terms”. By accessing the Site or using the Services, you agree to accept and be bound by the Terms. Please do not use the Services or the Site if you do not accept all of the Terms.

In caso di conflitto o incoerenza tra i Termini e un Contratto aggiuntivo, il Contratto aggiuntivo avrà la precedenza sui Termini solo in relazione a quel Servizio in questione.1.5 You may be required to enter into a separate agreement, whether online or offline, with EXhobby or our affiliate for any Service (“Additional Agreements”). If there is any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall take precedence over the Terms only in relation to that Service concerned.

2. Fornitura di servizi2. Provision of Services

No warranty or representation is given that a particular Service or feature or function thereof or the same type and extent of the Service or features and functions thereof will be available for Users.  EXhobby may in our sole discretion limit, deny or create different level of access to and use of any Services (or any features within the Services) with respect to different Users.

 

2.4  EXhobby può lanciare, modificare, aggiornare, imporre condizioni, sospendere o interrompere qualsiasi Servizio (o qualsiasi funzionalità all'interno dei Servizi) senza preavviso, salvo nel caso di un Servizio a pagamento, tali modifiche non influenzeranno sostanzialmente negativamente la fruizione di tale Servizio da parte degli Utenti paganti.2.4  EXhobby may launch, change, upgrade, impose conditions to, suspend, or stop any Services (or any features within the Services) without prior notice except that in case of a fee-based Service, such changes will not substantially adversely affect the paying Users in enjoying that Service.

3. Utenti in generale3. Users Generally

3.1 Come condizione per l'accesso e l'utilizzo del Sito o dei Servizi, l'utente accetta di rispettare tutte le leggi e i regolamenti applicabili durante l'utilizzo del Sito o dei Servizi.3.1 As a condition of your access to and use of the Site or Services, you agree that you will comply with all applicable laws and regulations when using the Site or Services.

Systematic retrieval of Site Content from the Site to create or compile, directly or indirectly, a collection, compilation, database or directory (whether through robots, spiders, automatic devices or manual processes) without written permission from EXhobby is prohibited. Use of any content or materials on the Site for any purpose not expressly permitted in the Terms is prohibited.

You acknowledge that EXhobby has no control over such third parties' web site, does not monitor such web site, and shall not be responsible or liable to anyone for such web site, or any content, products or services made available on such web site.

 

3.5 L'utente accetta di non intraprendere alcuna azione volta a indebolire l'integrità dei sistemi informatici o delle reti di EXhobby e/o di qualsiasi altro Utente né di ottenere accesso non autorizzato a tali sistemi informatici o reti.3.5 You agree not to undertake any action to undermine the integrity of the computer systems or networks of EXhobby and/or any other User nor to gain unauthorized access to such computer systems or networks.

 

3.6 Accetti di non intraprendere alcuna azione che possa compromettere l'integrità del sistema di feedback di EXhobby, come lasciare feedback positivi per te stesso utilizzando ID membro secondari o tramite terze parti o lasciando feedback negativi infondati per un altro Utente.3.6 You agree not to undertake any action which may undermine the integrity of EXhobby’s feedback system, such as leaving positive feedback for yourself using secondary Member IDs or through third parties or by leaving unsubstantiated negative feedback for another User.

Confermi e garantisci a EXhobby di avere tutti i diritti, il potere e l'autorità necessari per concedere la licenza di cui sopra.3.7 By posting or displaying any information, content or material (“User Content”) on the Site or providing any User Content to EXhobby or our representative(s), you grant an irrevocable, perpetual, worldwide, royalty-free, and sub-licensable (through multiple tiers) license to EXhobby to display, transmit, distribute, reproduce, publish, duplicate, adapt, modify, translate, create derivative works, such as using as product description on EXhobby,advertising outside EXhobby and otherwise use any or all of the User Content in any form, media, or technology now known or not currently known in any manner and for any purpose which may be beneficial to the operation of the Site, the provision of any Services and/or the business of the User. You confirm and warrant to EXhobby that you have all the rights, power and authority necessary to grant the above license.

4. Conti membri4. Member Accounts

Except with EXhobby’s approval, one User may only register one member account on the Site. EXhobby may cancel or terminate a User’s member account if EXhobby has reasons to suspect that the User has concurrently registered or controlled two or more member accounts. Further, EXhobby may reject User’s application for registration for any reason.

An account may have a web-based email account with limited storage space for the Member to send or receive emails.

Each Member shall be solely responsible for maintaining the confidentiality and security of your Member ID and password and for all activities that occur under your account. No Member may share, assign, or permit the use of your Member account, ID or password by another person outside of the Member’s own business entity. Member agrees to notify EXhobby immediately if you become aware of any unauthorized use of your password or your account or any other breach of security of your account.

4.5 Il Membro riconosce che la condivisione del proprio account con altre persone o il consentire a più utenti esterni alla propria entità aziendale di utilizzare il proprio account (collettivamente, "uso multiplo"), può causare danni irreparabili a EXhobby o ad altri Utenti del Sito. Il Membro accetta inoltre che, in caso di utilizzo multiplo del proprio account o di mancato mantenimento della sicurezza del proprio account da parte del Membro, EXhobby non sarà responsabile per eventuali perdite o danni derivanti da tale violazione e avrà il diritto di sospendere o chiudere l'account del Membro senza responsabilità nei confronti del Membro.4.5 Member acknowledges that sharing of your account with other persons, or allowing multiple users outside of your business entity to use your account (collectively, "multiple use"), may cause irreparable harm to EXhobby or other Users of the Site. Member shall indemnify EXhobby, our affiliates, directors, employees, agents and representatives against any loss or damages (including but not limited to loss of profits) suffered as a result of the multiple use of your account. Member also agrees that in case of the multiple use of your account or Member’s failure to maintain the security of your account, EXhobby shall not be liable for any loss or damages arising from such a breach and shall have the right to suspend or terminate Member’s account without liability to Member.

5. Responsabilità del membro5. Member’s Responsibilities

5.1 Ciascun Membro dichiara, garantisce e accetta di avere pieno potere e autorità per accettare i Termini del presente accordo.5.1 Each Member represents, warrants and agrees that they have full power and authority to accept the Terms in this agreement.

 

5.2 Al Membro sarà richiesto di fornire informazioni o materiale sulla propria entità come parte del processo di registrazione sul Sito per un account membro. Ciascun Membro dichiara, garantisce e accetta che (a) tali informazioni e materiali inviati durante il processo di registrazione o successivamente durante la continuazione dell'utilizzo del Sito o del Servizio sono veri, accurati, attuali e completi e (b) manterrai e modificherai tempestivamente tutte le informazioni e i materiali per mantenerli veri, accurati, attuali e completi.5.2 Member will be required to provide information or material about your entity as part of the registration process on the Site for a member account. Each Member represents, warrants and agrees that (a) such information and material whether submitted during the registration process or thereafter throughout the continuation of the use of the Site or Service is true, accurate, current and complete, and (b) you will maintain and promptly amend all information and material to keep it true, accurate, current and complete.

5.4 Ciascun Membro dichiara, garantisce e accetta che qualsiasi Contenuto utente inviato, pubblicato o visualizzato non infrange o viola alcun diritto d'autore, brevetto, marchio, nome commerciale, segreto commerciale o qualsiasi altro diritto personale o proprietario di terze parti ("Diritti di terze parti").5.4 Each Member represents, warrants and agrees that any User Content that they submit, post or display does not infringe or violate any of the copyright, patent, trademark, trade name, trade secrets or any other personal or proprietary rights of any third party (“Third Party Rights”).

 

5.5 Ciascun Membro dichiara, garantisce e accetta inoltre che il Contenuto utente inviato, pubblicato o visualizzato dovrà:5.5 Each Member further represents, warrants and agrees that the User Content that you submit, post or display shall:

 

 a) essere veritieri, accurati, completi e leciti; a) be true, accurate, complete and lawful;

 

 b) non essere falso, fuorviante o ingannevole; b) not be false, misleading or deceptive;

 

 c) non contenere informazioni diffamatorie, calunniose, minacciose o moleste, oscene, discutibili, offensive, sessualmente esplicite o dannose per i minori; c) not contain information that is defamatory, libelous, threatening or harassing, obscene, objectionable, offensive, sexually explicit or harmful to minors;

 

 d) non contenere informazioni discriminatorie o che promuovano discriminazioni basate su razza, sesso, religione, nazionalità, disabilità, orientamento sessuale o età; d) not contain information that is discriminatory or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

 

e) non contenere alcun collegamento diretto o indiretto a qualsiasi altro sito Web che includa contenuti che potrebbero violare i Termini.e) not contain any link directly or indirectly to any other web Site which includes any content that may violate the Terms.

 

 5.6 Ciascun Membro dichiara, garantisce e accetta inoltre che: 5.6 Each Member further represents, warrants and agrees that you shall:

 

 a) svolgere le proprie attività sul Sito nel rispetto delle leggi e dei regolamenti applicabili; a) carry on your activities on the Site in compliance with any applicable laws and regulations;

 

 b) svolgere le proprie attività in conformità con i Termini e gli eventuali Accordi aggiuntivi applicabili; b) carry on your activities in accordance with the Terms and any applicable Additional Agreements;

 

 c) non utilizzare i Servizi o il Sito per frodare alcuna persona o entità; c) not use the Services or Site to defraud any person or entity;

 

 d) non impersonare alcuna persona o entità, travisare te stesso o la tua affiliazione con qualsiasi persona o entità; d) not impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity;

 

 e) non impegnarsi in attività di spamming o phishing; e) not engage in spamming or phishing;

 

 f) non intraprendere altre attività illecite (incluse, a titolo esemplificativo, quelle che costituirebbero un reato penale, darebbero luogo a responsabilità civile, ecc.) o incoraggiare o favorire qualsiasi attività illecita; f) not engage in any other unlawful activities (including without limitation those which would constitute a criminal offence, give rise to civil liability, etc) or encourage or abet any unlawful activities;

 

 g) non comportare tentativi di copiare, riprodurre, sfruttare o espropriare le varie directory, database ed elenchi proprietari di EXhobby; g) not involve attempts to copy, reproduce, exploit or expropriate EXhobby’s various proprietary directories, databases and listings;

 

 h) non comportare virus informatici o altri dispositivi e codici distruttivi che abbiano l'effetto di danneggiare, interferire, intercettare o espropriare qualsiasi sistema software o hardware, dati o informazioni personali; h) not involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information;

 

 i) non comportare alcun piano volto a compromettere l'integrità dei dati, sistemi o reti utilizzati da EXhobby e/o qualsiasi utente del Sito o ottenere accesso non autorizzato a tali dati, sistemi o reti; i) not involve any scheme to undermine the integrity of the data, systems or networks used by EXhobby and/or any user of the Site or gain unauthorized access to such data, systems or networks;

 

 j) non intraprendere alcuna attività che altrimenti creerebbe alcuna responsabilità per EXhobby o per i nostri affiliati. j) not engage in any activities that would otherwise create any liability for EXhobby or our affiliates.

 

5.7 Il Membro non può utilizzare i Servizi e la messaggistica dell'account membro per impegnarsi in attività identiche o simili all'attività di e-commerce di EXhobby.5.7 Member may not use the Services and member account messaging to engage in activities which are identical or similar to EXhobby’s e-commerce business.

 

5.8  Il Membro si impegna a fornire tutte le informazioni, i materiali e l'approvazione necessari e a fornire tutta l'assistenza e la cooperazione ragionevoli necessarie per la fornitura dei Servizi da parte di EXhobby, valutando se il Membro ha violato i Termini e/o gestendo qualsiasi reclamo contro il Membro. Se l'incapacità del Membro di farlo comporta un ritardo, una sospensione o una cessazione della fornitura di qualsiasi Servizio, EXhobby non sarà obbligata a prolungare il relativo periodo di servizio né sarà responsabile per eventuali perdite o danni derivanti da tale ritardo, sospensione o risoluzione.5.8  Member agrees to provide all necessary information, materials and approval, and render all reasonable assistance and cooperation necessary for EXhobby’s provision of the Services, evaluating whether Member has breached the Terms and/or handling any complaint against the Member. If Member’s failure to do so results in delay in, or suspension or termination of, the provision of any Service, EXhobby shall not be obliged to extend the relevant service period nor shall be liable for any loss or damages arising from such delay, suspension or termination.

 

5.9 Il Membro riconosce e accetta che EXhobby non sarà tenuto a monitorare attivamente né esercitare alcun controllo editoriale di sorta sul contenuto di qualsiasi messaggio, materiale o informazione creata, ottenuta o accessibile tramite i Servizi o il Sito. EXhobby non approva, verifica o certifica in altro modo il contenuto di eventuali commenti o altro materiale o informazioni forniti da qualsiasi Membro. Ciascun Membro è l'unico responsabile del contenuto delle proprie comunicazioni e può essere ritenuto legalmente responsabile per il contenuto dei propri commenti o altro materiale o informazioni.5.9 Member acknowledges and agrees that EXhobby shall not be required to actively monitor nor exercise any editorial control whatsoever over the content of any message or material or information created, obtained or accessible through the Services or Site. EXhobby does not endorse, verify or otherwise certify the contents of any comments or other material or information made by any Member. Each Member is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.

6. Violazioni da parte dei Membri6. Breaches by Members

EXhobby shall also have the right to restrict, refuse or ban any and all current or future use of any other Service that may be provided by EXhobby. The penalties that EXhobby may impose include, among others, warning, removing any product listing or other User Content that the Member has submitted, posted or displayed, imposing restrictions on the number of product listings that the Member may post or display, or imposing restrictions on the Member’s use of any features or functions of any Service for such period as EXhobby may consider appropriate in our sole discretion.

EXhobby shall not be liable for damages or results arising from such disclosure, and Member agrees not to bring any action or claim against EXhobby for such disclosure

EXhobby reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Member, in which event the Member shall cooperate with EXhobby in asserting any available defenses.

Each User hereby further agrees that EXhobby is not responsible and shall have no liability to you, for any material posted by others; including defamatory, offensive or illicit material and that the risk of damages from such material rests entirely with each User. EXhobby reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with EXhobby in asserting any available defenses.

All claims arising from the use of the Site or Services must be filed within one (1) year from the date the cause of action arose.

12.7 I Termini e Condizioni saranno regolati dalle leggi della Cina indipendentemente dalle disposizioni sui conflitti di legge.12.7 The Terms and Conditions shall be governed by the laws of China without regard to its conflict of law provisions.
